Terms & Conditions

1. Overview

These terms govern all web design and development services provided by mmios.dev ("we", "us", "the studio"), operated by Manuel Moreno, based in New Zealand. By engaging our services or submitting a contact form, you ("the client") agree to these terms.

2. Services

We provide custom web design, web development, brand identity, and related digital services. The specific scope of work, deliverables, and timeline are agreed in writing before work begins.

Any work outside the agreed scope — additional pages, features, or design revisions beyond what was quoted — will be quoted separately and requires written approval before proceeding.

3. Payment

Deposit: A 50% deposit is required before any design or development work begins. This deposit is non-refundable once work has started.

Balance: The remaining 50% is due upon project completion, before the final site is handed over or made live.

Late payment: Invoices unpaid after 14 days may incur a late fee of 1.5% per month on the outstanding balance.

GST: All prices are exclusive of GST unless stated otherwise.

4. Revisions

Each project includes a set number of revision rounds as agreed in the project scope. Revisions are defined as reasonable changes to the existing design — not new design directions or scope additions.

Additional revisions beyond the agreed rounds are charged at our hourly rate, which will be communicated before any extra work begins.

5. Client responsibilities

The client is responsible for providing all required content — text, images, logos, and other assets — within 14 days of project kickoff. Delays in providing content may push back the project timeline.

The client is also responsible for reviewing and approving work within a reasonable timeframe. If we don't hear back within 14 days of sending work for review, the project may be paused until we receive feedback.

6. Intellectual property

Upon receipt of final payment, full ownership of the completed website and custom design assets transfers to the client. You own it.

We retain the right to display the completed project in our portfolio, on mmios.dev, and in other marketing materials, unless you request otherwise in writing before the project starts.

Third-party elements (fonts, stock images, plugins, frameworks) remain subject to their own licences. We'll ensure any third-party assets used are properly licensed for your use.

7. Hosting & maintenance

Unless a maintenance plan is agreed separately, ongoing hosting, updates, and maintenance are the client's responsibility after handover. We'll provide guidance on how to manage your site going forward.

We are not liable for issues arising from third-party hosting platforms, DNS changes, or software updates made after handover.

8. Cancellation

Either party may cancel a project with 7 days written notice. If the client cancels, the deposit is non-refundable and any work completed to date will be invoiced at the agreed rate.

If we cancel, we will refund any amounts paid for work not yet completed and provide all assets created to date.

9. Limitation of liability

We take our work seriously, but we cannot be held liable for loss of business, revenue, or data arising from use of, or inability to use, the delivered product. Our total liability is limited to the amount paid for the specific project in question.

Nothing in these terms excludes or limits liability in ways not permitted under New Zealand law, including the Consumer Guarantees Act 1993 and the Fair Trading Act 1986.

10. Governing law

These terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of New Zealand courts.
